파라마운트 글로벌의 미래와 FAST(Paramount Global's future depends on FAST)

Paramount Global, the Hollywood studio that owns Paramount Pictures and CBS, is expected to be sold to a consortium of media company Skydance, Redbird Capital, and KKR for $8 billion.  Skydance has proposed an amended offer to Paramount that includes an option to purchase non-voting shares for $15 per share. The deal represents a 26% premium to the company's closing price in late May.

But Paramount Global's post-divestiture future is more problematic. It is facing challenges such as the survival of Paramount+, a streaming service with an ambiguous size, and declining original investment, so some have called for Paramount Global to focus more on advertising and recycling content. Some have suggested that Paramount Global should focus more on the FAST market.

[Paramount Global nears sale]

The proposal has reportedly been approved by Paramount's board of directors, and only a decision by its largest shareholder, Shari Redstone, remains. The deal is expected to be formally announced in the coming days.

Skydance's acquisition of Paramount will be completed in two steps. In the first step, Skydance will purchase National Amusements, which holds 77% of the voting shares of Paramount Global. Paramount then acquires Skydance. The studio is responsible for Top Gun: Maverick and The Family Plan. The second step is approval from Paramount's board of directors.

스카이댄스는 파라마운트에 비의결권주식을 주당 15달러 매입하는 옵션을 포함한 수정안을 제안했다. 지난 5월 말 종가 기준 26%의 프리미엄이 포함된 거래다.  

그러나 파라마운트 글로벌은 매각 이후가 더 문제다. 애매한 사이즈의 스트리밍 서비스 파라마운트+의 생존, 오리지널 투자비 감소 등이 직면한 과제다 그래서 일각에서는 파라마운트 글로벌이 콘텐츠 재활용에 광고에 더 집중해야 한다는 주문도하고 있다. 파라마운트 글로벌이 FAST 시장에 더 집중해야 한다는 지적도 있다.

[파라마운트 글로벌, 매각 임박]

이 제안은 파라마운트 이사회에서 승인되었으며 최대 주주인 쉐릴 레드스톤의 결정만 남은 것으로 알려졌다. 이 거래는 수일 내에 공식 발표될 것으로 예상된다.

스카이댄스의 파라마운트 인수는 두 단계로 이뤄진다. 첫 번째 스텝은 스카이댄스가 파라마운트글로벌의 의결권 주식(voting shares of Paramount) 77%를 보유한  내셔널 어뮤즈먼트(National Amusements)를 사들인다. 이후 파라마운트는 스카이댄스를 인수한다. 스튜디오인 스카이댄스는 ‘탑건: 매버릭(Top Gun: Maverick)’과 ‘The Family Plan’을 제작한 바 있다. 두 번째 단계는 파라마운트 이사회의 승인을 거쳐야 한다.

스카이댄스의 이름은 잘 알려지지 않았다. 그러나 이 회사 오너인 데이비드 엘리슨(David Ellison)은 오라클 창업자 래리 앨리슨(Larry Ellison)의 아들로 이른바 ‘테크 로열가(tech royalty)’다. 하지만 올해 파라마운트 글로벌은 불안했다. 역대 최고 시청률을 기록한 슈퍼볼 방송 다음날 대규모 정리 해고를 발표했다. 몇 달 뒤에는 CEO가 해고됐다.
