‘조용한 CEO’의 시끄러운 퇴장…파라마운트의 불안한 미래(The Noisy Exit of the 'Anti-Mogul CEO'...and Paramount's Unsettled Future)

Bob Bakish, CEO of Paramount Global, is one of the few "non-celebrity media executives" in Hollywood. He'd rather be in meetings at his company discussing strategy and driving ad sales than on TV. He was a CEO who had given up on being a Hollywood mogul. But it was this authenticity that propelled him to the top job at Paramount. Bob Wheelsch, who took over as Paramount's global CEO in 2016, will step down in April 2024.

Paramount Global, which owns CBS, MTV, Comedy Central and more, has fired Mr. Bakish and created a new chief executive committee to run the company. In announcing Bakish's departure, Shari Redstone, chairman of National Amusements, Paramount Global's majority shareholder, said, "We are grateful for his many contributions to the merger and to Paramount over the years."

Redstone and Bakish originally got along well; his low-key, non-dramatic approach was one of the things that appealed to Redstone when she hired him, but their relationship soured as he made strategic decisions that differed from hers, including the decision not to sell the Showtime channel. Some board members and senior Paramount executives also questioned Bakish's business judgment.

Bakish also expressed concerns to his entourage about SkyDance's acquisition of Paramount. The deal was not in the best interests of shareholders, he said, because it would give Redstone's voting shares (Class A) a significant premium. In response, Skydance reportedly made a revised proposal on Sunday that would pay a premium to non-voting shareholders in the Paramount and Skydance merger and reduce the amount of cash paid to National Amusements.  Skydance plans to inject $3 billion to pay down Paramount's debt.

파라마운트 글로벌의  CEO 밥 바키쉬(Bob Bakish)는 할리우드에서 몇 안되는 ‘셀럽이 아닌 미디어 기업 경영자’다. 방송 출연보다는 회사에서  전략을 논의하고 광고 매출을 높이는 회의를 즐겼다. 할리우드 거물이 되길 포기한 CEO였던 셈이다. 하지만, 이런 진정성은 그를 파라마운트 최고의 자리로 안내했다. 2016년 파라마운트 글로벌 CEO에 올랐던 밥 바퀴쉬가 2024년 4월 전격 경질됐다.

CBS, MTV, 코미디 센트럴 등을 소유하고 있는 파라마운트 글로벌은 바퀴시를 경질한 뒤 회사를 운영하는 최고 경영위원회를 신설키로 했다. 파라마운트 글로벌의 대주주인 내셔널 아뮤즈먼츠(National Amusements) 대표 쉐리 레드스톤(Shari  Redstone)는 바키쉬의 퇴사를 발표하면서 “회사 합병과 파라마운트를 위해 오랜 동안 많은 공헌을 해준 데 대해 감사한다"고 말했다.

레드 스톤콰 바퀴시는 원래 사이가 좋았다. 눈에 띄지 않고 드라마틱하지 않은 그의 접근 방식은 레드스톤이 그를 채용할 때 매력적으로 다가온 이유 중 하나였다. 그러나 쇼타임 채널을 매각하지 않기로 한 결정 등 레드스톤과 다른 전략적 판단을 하며 둘 사이는 악화되었다. 일부 이사회 멤버들과 파라마운트 고위 임원들도 바키쉬의 경영 판단에 의문을 제기했다.

바키쉬는 측근들에게 스카이댄스의 파라마운트 인수에 대해서도 우려를 표명했다. 이 거래는 레드스톤이 가진 의결권 지분)(클래스A)에 상당한 프리미엄을 줄 수 있기 때문에 주주들의 이익에 부합하지 않다는 이유다. 이에 스카이댄스는 일요일 파라마운트와 스카이댄스  합병에서 의결권 없는 주주들에게 프리미엄을 주고 내셔널 어뮤즈먼트에 지급하는 현금을 줄이는 수정 제안을 한 것으로 알려졌다.  스카이댄스는 파라마운트의 부채 상환을 위해  30억 달러를 투입할 계획이다.
